Terms and Conditions

These Terms govern the use of ShiftSnap, and any other related Agreement or legal relationship with the Owner in a legally binding way. Capitalized words are defined in the relevant dedicated section of this document.
The User must read this document carefully.
Although the entire contractual relationship relating to these Products is entered into solely by the Owner and Users, Users acknowledge and agree that, where ShiftSnap has been provided to them via the Apple App Store, Apple may enforce these Terms as a third-party beneficiary.

What the User should know at a glance
* Certain provisions may only apply to certain categories of Users (Consumers vs Business Users). Such limitations are always explicitly mentioned within each affected clause.
* The right of withdrawal only applies to European Consumers.
* Usage of ShiftSnap is age restricted: the User must be an adult under applicable law.
* ShiftSnap uses automatic renewal for subscriptions. Information about renewal period, termination details and termination notice can be found in the relevant section of these Terms.


1. Terms of Use
By using ShiftSnap, Users confirm to meet the following requirements:
* Users must be recognized as adult by applicable law.
* Users aren’t located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist-supporting” country.
* Users aren’t listed on any U.S. Government list of prohibited or restricted parties.
Account Registration
To use ShiftSnap, Users must register or create a User account, providing all required data in a complete and truthful manner. Failure to do so will cause unavailability of the Service.
Users are responsible for keeping their login credentials confidential and safe.
Users are required to choose passwords that meet the highest standards of strength permitted by ShiftSnap.
By registering, Users agree to be fully responsible for all activities that occur under their username and password.
Users are required to immediately inform the Owner if they think their personal information, including but not limited to User accounts, access credentials or personal data, have been violated, unduly disclosed or stolen.
Account termination
Users can terminate their account and stop using the Service at any time by using the tools provided for account termination within ShiftSnap.
Account suspension and deletion
The Owner reserves the right, at its sole discretion, to suspend or delete at any time and without notice, User accounts which it deems inappropriate, offensive or in violation of these Terms. The suspension or deletion of User accounts shall not entitle Users to any claims for compensation, damages or reimbursement.
3. Description of Service
ShiftSnap is a time tracking and shift management application that allows users to clock in/out, track breaks, view schedules, manage teams, approve timesheets, and monitor work hours.
4. Data Accuracy
ShiftSnap provides time tracking tools for convenience. While we strive for accuracy, you are responsible for verifying the correctness of all time records, hours calculations, and pay estimates. ShiftSnap is not a substitute for official payroll systems.
5. Premium Subscription
ShiftSnap offers paid Products on the basis of payment. The fees, duration and conditions applicable to the purchase of such Products are described below and in the dedicated sections of ShiftSnap.


Trial period
Users have the option to test ShiftSnap during a limited and non-renewable trial period of 7 days, at no cost. Some features may not be available during the trial period. The trial period shall end automatically and shall not convert into any paid Product unless the User actively purchases such paid Product.


Subscriptions
Subscriptions allow Users to receive a Product continuously over time. Paid subscriptions start on the day the payment is received and last for the subscription period chosen by the User.
Subscriptions handled via Apple ID
Users may subscribe using the Apple ID associated with their Apple App Store account. When doing so, Users acknowledge and accept that:
* Any payment due shall be charged to their Apple ID account.
* Subscriptions are automatically renewed for the same duration unless the User cancels at least 24 hours before the current period expires.
* Any and all fees or payments due for renewal will be charged within 24 hours before the end of the current period.
* Subscriptions can be managed or cancelled in the Users’ Apple App Store account settings.
Subscriptions handled via Google Play
Users may subscribe using their Google Play Store account. Subscriptions are automatically renewed unless cancelled through the Google Play Store account settings. Refund requests are handled by Google according to their refund policies.


Automatic renewal
Subscriptions are automatically renewed through the payment method that the User chose during purchase. The renewed subscription will last for a period equal to the original term.


Termination
Subscriptions may be terminated by using the corresponding controls inside the Apple App Store or Google Play Store. If the notice of termination is received before the subscription renews, the termination shall take effect as soon as the current period is completed


Purchase via app store
Products available on ShiftSnap must be purchased via a third-party app store.
Purchases done via third-party online stores are also subject to such third-parties’ terms and conditions, which, in case of any inconsistency or conflict, shall always prevail upon these Terms.


6. Acceptable Use
ShiftSnap may only be used within the scope of what it is provided for, under these Terms and applicable law. Users are solely responsible for making sure that their use of ShiftSnap violates no applicable law, regulations or third-party rights.


The Owner reserves the right to take any appropriate measure to protect its legitimate interests whenever Users engage or are suspected to engage in any of the following activities:
* Violate laws, regulations and/or these Terms.
* Use the app for any illegal or unauthorized purpose.
* Falsify time records, clock-in data, or any other information.
* Attempt to gain unauthorized access to other users’ accounts or data.
* Reverse engineer, decompile, or disassemble the app.
* Use the app in any manner that could damage or overload our servers.
* Infringe any third-party rights.
* Considerably impair the Owner’s legitimate interests.


7. Intellectual Property & Software License
All content, features, and functionality of ShiftSnap, including but not limited to design, code, graphics, trademarks, and all intellectual property rights are the exclusive property of the Owner or its licensors and are subject to the protection granted by applicable laws or international treaties.
Subject to Users’ compliance with these Terms, the Owner grants Users a revocable, non-exclusive, non-sublicensable and non-transferable license to use the software within the scope and for the purposes of ShiftSnap.


This license does not grant Users any rights to access, usage or disclosure of the original source code. Users may not copy, modify, distribute, or create derivative works without written consent.
The Owner reserves the right to release updates, fixes and further developments and to provide them to Users for free. Users may need to download and install such updates to continue using ShiftSnap.




8. Limitation of Liability
Unless otherwise explicitly stated and without prejudice to applicable statutory product liability provisions, Users shall have no right to claim damages against the Owner. This does not apply to damages to life, health or physical integrity, damages resulting from the breach of an essential contractual obligation, and/or damages resulting from intent or gross negligence.
The Owner shall not be liable for:
* Any loss of business opportunities and any other loss, even indirect, that may be incurred by the User (such as trading losses, loss of revenue, income, profits or anticipated savings, loss of contracts or business relationships, loss of reputation or goodwill, etc.).
* Damages or losses resulting from interruptions or malfunctions due to acts of force majeure, or unforeseen and unforeseeable events beyond the control of the Owner.
* Any losses that are not the direct consequence of a breach of the Terms by the Owner.
* Any damage occurring due to viruses or other malware contained in or connected to files available for download from the internet or via ShiftSnap.


Australian Users
Nothing in these Terms excludes, restricts or modifies any guarantee, condition, warranty, right or remedy which the User may have under the Competition and Consumer Act 2010 (Cth) or any similar State and Territory legislation and which cannot be excluded, restricted or modified


US Users
ShiftSnap is provided strictly on an “as is” and “as available” basis. Use of the Service is at Users’ own risk. To the maximum extent permitted by applicable law, the Owner expressly disclaims all conditions, representations, and warranties –whether express, implied, statutory or otherwise, including, but not limited to, any implied warranty of merchantability, fitness for a particular purpose, or non-infringement of third-party rights.


In no event shall the Owner be liable for any indirect, punitive, incidental, special, consequential or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or relating to the use of, or inability to use, the Service.
In no event shall the Owner be liable for any claims, proceedings, liabilities, obligations, damages, losses or costs in an amount exceeding the amount paid by User to the Owner in the preceding 12 months, or the period of duration of this agreement, whichever is shorter.




9. Indemnification
The User agrees to indemnify and hold the Owner and its subsidiaries, affiliates, officers, directors, agents, partners and employees harmless from and against any claim or demand — including but not limited to lawyer’s fees and costs — made by any third party due to or in relation with any culpable use of or connection to the Service, violation of these Terms, infringement of any third-party rights or statutory provision by the User to the extent allowed by applicable law.


10. Right of Withdrawal (European Consumers)
Unless exceptions apply, Users who are European Consumers are granted a statutory cancellation right to withdraw from contracts entered into online within 14 days, for any reason and without justification.


To exercise their right of withdrawal, Users must send to the Owner an unequivocal statement of their intention to withdraw from the contract to support@shiftsnappro.com.
Users who correctly withdraw from a contract will be reimbursed by the Owner for all payments made, without undue delay and no later than 14 days from the day the Owner is informed of the User’s decision to withdraw.
Where a User exercises the right of withdrawal after having requested that the service be performed before the withdrawal period expires, the User shall pay an amount proportional to the part of service provided.


11. Common Provisions
No Waiver
The Owner’s failure to assert any right or provision under these Terms shall not constitute a waiver of any such right or provision.


Service interruption
The Owner reserves the right to interrupt the Service for maintenance, system updates or any other changes, informing Users appropriately. The Service might also not be available due to reasons outside the Owner’s reasonable control, such as force majeure.
Changes to Terms
The Owner reserves the right to amend or otherwise modify these Terms at any time. The continued use of the Service will signify the User’s acceptance of the revised Terms. If Users do not wish to be bound by the changes, they must stop using the Service.


Severability
Should any provision of these Terms be deemed invalid or unenforceable under applicable law, the invalidity of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.
Assignment
The Owner reserves the right to transfer, assign, dispose of by novation, or subcontract any or all rights or obligations under these Terms. Users may not assign or transfer their rights or obligations without the written permission of the Owner.


12. Governing Law & Dispute Resolution
These Terms are governed by the law of the United Kingdom, without regard to conflict of law principles.


Exception for European Consumers
If the User qualifies as a European Consumer and has their habitual residence in a country where the law provides for a higher consumer protection standard, such higher standards shall prevail.
Dispute resolution
Users may bring any disputes to the Owner who will try to resolve them amicably.
The User may submit the complaint to support@shiftsnappro.com. The Owner will process the complaint without undue delay and within 3 days of receiving it.
Online dispute resolution for Consumers
The European Commission has established an online platform for alternative dispute resolutions. Any European Consumer can use such platform for resolving disputes stemming from contracts entered into online.

Definitions
* ShiftSnap (or this Application): The property that enables the provision of the Service.
* Owner (or We): The entity that provides ShiftSnap and the Service to Users.
* User (or You): Any natural person or legal entity using ShiftSnap.
* Consumer: Any User qualifying as a natural person who accesses goods or services for personal use.
* European (or Europe): Applies where a User is physically present or has their registered offices within the EU, regardless of nationality.
* Service: The service provided by ShiftSnap as described in these Terms.
* Product: A good or service available for purchase through ShiftSnap.
* Terms: All provisions applicable to the use of ShiftSnap as described in this document.
